7.3 Late Payment

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • AI systems have inherent limitations and may produce errors or unexpected outputs
  • We are not responsible for decisions made based on AI system outputs
  • Website availability is not guaranteed; we may experience downtime for maintenance or technical issues

9.3 No Professional Advice

Our AI services provide data processing and pattern recognition capabilities but do not constitute professional advice in legal, medical, financial, or other regulated domains. Users remain responsible for all decisions and should consult appropriate professionals when needed.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SINGAPORE LAW:

10.1 Liability Cap

Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim, calculated over the twelve months preceding the claim.

10.2 Excluded Damages

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement. This includes:

  • Business information and strategies
  • Data provided for processing
  • Terms of the service agreement

Confidentiality obligations survive termination of the service relationship and remain in effect for a period of five years unless otherwise specified in a separate confidentiality agreement.

13. Termination

13.1 Termination by Either Party

Either party may terminate a service agreement according to the terms specified in that agreement, typically requiring written notice.

13.2 Termination for Breach

We may immediately terminate or suspend services if you:

15. General Provisions

These Terms, together with any service-specific agreements, constitute the entire agreement between you and Iridael regarding the subject matter herein.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations with reasonable notice to you.

15.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, labour disputes, or government actions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date.

For material changes, we will provide notice via:
